These Terms and Conditions of Use (“Terms of Use”) apply to the TapRooT® Website located at www.taproot.com, and all associated sites linked to www.taproot.com by System Improvements (“the Site”). The Site is the property of System Improvements. You agree that by accessing the Site, you have read, understood, and agree to be bound by the Terms of Use. IF YOU DO NOT AGREE WITH THE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
System Improvements reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use, at any time. It is your responsibility to check these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. By using the Site, you represent and warrant that: (1) you agree to comply with these Terms of Use; (2) you are not a minor in the jurisdiction in which you reside; (3) you will not access the Site through automated or non-human means, whether through a bot, script or otherwise; (4) you will not use the Site for any illegal or unauthorized purpose; and (5) your use of the Site will not violate any applicable law or regulation. If you provide any false, inaccurate, or incomplete information, we have the right to suspend or terminate your account or block you from the Site.
As long as you comply with these Terms of Use, System Improvements grants you a personal, non-exclusive, non-transferable, limited privilege to enter and use the Site.

You may not use the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of Apple or others.
You may not copy or adapt the Site’s software, including HTML or other code, or decompile, disassemble, or reverse engineer any of the code, software, or data making up the Site.
You may not retrieve data or other Content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from System Improvements.
You may not disparage, tarnish, or otherwise harm, the Site and/or System Improvements.
You may not upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, spyware, web bugs, or other harmful material, or take any action that modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Site.
You may not use the Site or Content to compete with System Improvements or otherwise use or access the Site and/or the Content for any revenue generating endeavor or commercial enterprise.

System Improvements’ Privacy Policy (www.taproot.com/privacy) applies to use of this Site, and its terms are made a part of these Terms of Use by this reference. By using the Site, you acknowledge and agree that Internet transmissions are never completely private or secure. You understand that any message or information you send to the Site may be read or intercepted by others.
This Site may contain links to other independent third-party Web sites ("Linked Sites"). These Linked Sites are provided solely as a convenience to our visitors. Such Linked Sites are not under the control of System Improvements, and we are not responsible for and do not endorse the content of such Linked Sites, including any information or materials contained on such Linked Sites. You are responsible for your own use of any Linked Sites. System Improvements is not responsible for any personal information, including financial or identification information, that you submit on any Linked Site.
You agree that we may access, store, process, and use any information and personal data that you provide according to the terms of our Privacy Policy. You agree that all matters relating to your use or access to the Site, including these Terms of Use, shall be governed by the laws of the United States and the laws of the State of Tennessee without regard to conflicts of laws provisions. You agree to the personal jurisdiction by and exclusive venue in the state and federal courts located in Knox County, Tennessee, and waive any objection to such jurisdiction or venue.
In the event of any controversy or dispute between System Improvements and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation in Knox County, Tennessee. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

IN NO EVENT WILL SYSTEM IMPROVEMENTS, OR ITS EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold System Improvements, including its employees and agents, harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your use of the Site and/or breach of these Terms of Use.
You may not use or export or re-export any Content or any copy or adaptation of such Content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including without limitation United States export laws and regulations.
If any of the provisions of these Terms of Use are held by a court to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain in full force and effect. These Terms of Use constitute the entire agreement between System Improvements and you with regard to your use of the Site. Any and all other written or oral agreements or understandings previously existing between you and System Improvements with respect to use of the Site are hereby superseded and cancelled.
System Improvements’ failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver of any provision or any right of System Improvements, nor shall any course of conduct between System Improvements and you or any other party be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted or construed to confer any rights or remedies on any third parties.
